Important summary. When you buy a physical artwork, you own that particular physical object—not the copyright, source file, reproduction rights, commercial rights, or rights in a depicted person. Digital files are licensed, not sold, and are for personal use only unless a listing or separate signed agreement expressly grants more. Products may contain mature or adult-oriented themes and are available only to purchasers age 18 or older.

These Fine Art Print and Digital Product Terms of Sale (“Print Terms”) form a binding agreement between Fiat Lux Victor LLC, a Wyoming limited liability company (“Fiat Lux,” “Company,” “we,” “us,” or “our”), and the person or entity that orders, purchases, receives, or uses a product (“Buyer,” “you,” or “your”).

Fiat Lux acts as a private fine-art gallery, seller, transaction administrator, licensing representative, and/or authorized agent for artists, models, creators, licensors, estates, and other rights owners (collectively, “Rights Holders”). A Rights Holder need not be publicly identified. Unless a product listing or separate signed agreement expressly says otherwise, Fiat Lux is the contracting seller or administrator for the transaction and grants only those rights it is authorized to grant.

1. Acceptance and order contract

You accept these Print Terms when you click or check an acceptance box, place an order through an authorized sales channel, accept an invoice incorporating these Print Terms, download a delivered file, or retain a delivered product after receiving notice of these Print Terms.

The complete contract for an order consists of:

any separately signed commission, licensing, or purchase agreement;

the product listing and selected specifications;

the order confirmation or invoice;

these Print Terms; and

policies expressly incorporated at checkout.

If those documents conflict, they control in the order listed above. The version presented or incorporated at checkout controls the completed order. Later revisions apply prospectively.

If you do not agree, do not place the order. Electronic acceptance and records may be used to evidence the transaction to the extent permitted by the federal E-SIGN Act and other applicable law.

2. Eligibility and adult-oriented Artwork

You represent that:

you are at least eighteen (18) years old and legally capable of contracting;

if purchasing for another person or entity, you have authority to do so;

you may lawfully purchase, import, receive, possess, and display the product where it will be delivered or used; and

your payment and contact information is accurate and lawfully controlled by you.

Some Artwork may include mature themes, implied nudity, nudity, sensuality, provocative fashion, simulated danger, weapons, or other adult-oriented material. Product warnings are descriptive and are not a guarantee that content is lawful or suitable everywhere.

You are responsible for keeping adult-oriented Artwork from minors and for complying with local display, import, workplace, venue, platform, and obscenity laws. You may not use any product or depicted person to create unlawful sexual content, exploit minors, facilitate abuse, or evade applicable age or recordkeeping requirements.

3. Definitions

“Artwork” means the image, design, photograph, illustration, mixed-media composition, or other creative material reproduced in or delivered as a product.

“Authorized Listing” means a listing, invoice, or offer published or expressly approved by Fiat Lux.

“Custom Product” means an item produced, printed, mounted, framed, matted, finished, signed, personalized, numbered, or otherwise configured for a particular order.

“Digital Product” means a non-NFT digital file, download, proof, wallpaper, or other electronically delivered product.

“Physical Product” means a tangible fine-art print, canvas, metal print, acrylic print, wood print, framed work, mounted work, proof, or related art product.

“Personal Use” means private, noncommercial use that does not generate revenue, advertise or promote goods or services, imply endorsement, or materially benefit a business or third party.

4. Products and specifications

Fiat Lux may offer:

fine-art paper prints, including smooth or textured archival papers;

photographic papers and specialty papers;

rolled, unstretched, stretched, mounted, or gallery-wrapped canvas;

metal, acrylic, wood, or other specialty substrates;

framed or matted works;

open editions, limited editions, artist proofs, and exhibition proofs;

oversized or custom-format works;

non-NFT Digital Products; and

packaging, certificates, or installation-related components expressly listed.

Your product is defined by the specifications confirmed in the order: Artwork, crop, dimensions, substrate, finish, border, mount, frame, mat, glazing, edition, quantity, and shipping destination. Images of rooms, frames, galleries, or installations may be scale visualizations or mockups and are illustrative unless expressly labeled as photographs of the exact product.

5. Oversized and custom production

Many products are made to order, and oversized products may require specialized fine-art laboratories, framers, mounting facilities, freight carriers, custom crates, or multiple vendors. Fiat Lux may select a qualified production partner and route an order to a suitable facility based on size, medium, destination, availability, color-management capability, and shipping risk.

An advertised maximum size is not a promise that every Artwork, crop, medium, frame, glazing option, or destination supports that size. Fiat Lux may recommend a different material, crop, seam, mount, frame, crate, or installation method if necessary for safe production.

Large paper or canvas works may ship rolled in a protective tube or canister. Mounted, glazed, framed, or rigid works may ship in a custom carton or crate. Installation, unpacking, wall reinforcement, lift equipment, customs brokerage, and debris removal are not included unless the listing or invoice expressly includes them.

6. Proofs, crops, and buyer approvals

Fiat Lux may provide a digital proof, crop preview, material recommendation, or frame visualization for a Custom Product. Screen proofs are approximations. If approval is requested:

review all dimensions, crop boundaries, spelling, orientation, medium, frame, mat, and delivery information;

respond by the stated deadline; and

understand that production may begin immediately after approval.

Your approval authorizes production of the approved configuration. Buyer-requested changes after approval may require a new order, change fee, production charge, or shipping charge.

Fiat Lux may make minor production adjustments for bleed, wrap, mat overlap, printer margins, mounting, or structural safety. A material change to the central composition or ordered specifications requires Buyer approval unless the change is necessary to remedy an obvious error.

7. Color, surface, and material variation

Fine-art production involves physical materials and calibrated devices. You understand that:

screens differ in brightness, contrast, gamut, and color;

paper white, texture, gloss, optical brighteners, coatings, ink absorption, varnish, glazing, and ambient light affect appearance;

canvas texture, metal reflectivity, acrylic depth, wood grain, and handmade frames may vary;

a very large enlargement may reveal intentional texture, grain, brushwork, source characteristics, or details not visible in a web preview;

hand-finishing and natural materials may include minor, non-defective variation; and

frame moulding and mat lots may vary slightly over time.

A commercially reasonable variation that is inherent to the selected material or process is not a defect. This does not excuse a materially incorrect, damaged, or defective product.

8. Archival and longevity statements

Words such as “archival,” “museum-quality,” “gallery-quality,” “fine art,” and “giclée” describe materials or processes and do not guarantee a specific number of years in every environment. Longevity depends on ink, substrate, coating, glazing, light exposure, humidity, temperature, pollutants, handling, storage, installation, and laboratory conditions.

Keep works away from direct sunlight, high humidity, water, smoke, heat, abrasion, and non-archival contact materials. Use a qualified framer or installer for valuable or oversized works.

9. Prices, payment, authorization, and fraud

Prices are stated in the currency shown at checkout and may exclude taxes, duties, customs charges, brokerage, installation, and special delivery unless stated otherwise. You authorize Fiat Lux and its payment providers to charge the total shown in the order.

Fiat Lux may:

correct an obvious pricing or specification error before production;

request identity, address, payment, tax, sanctions, or fraud-verification information;

refuse or cancel an uncompleted order involving suspected fraud, stolen payment credentials, sanctions, unlawful content, resale deception, or production infeasibility; and

require cleared funds, a deposit, staged payments, or a signed invoice for a high-value or custom order.

If Fiat Lux cancels before delivery without Buyer breach, Fiat Lux will refund amounts it actually received for the canceled item, subject to applicable law.

You agree to contact Fiat Lux promptly to resolve a good-faith dispute before initiating a chargeback. Nothing in this paragraph waives lawful cardholder rights.

10. Taxes, duties, and import requirements

You are responsible for taxes, duties, brokerage, import permits, customs examinations, storage, and government charges not collected at checkout. Fiat Lux may collect and remit taxes when legally required.

An international buyer is the importer of record unless the order expressly states otherwise. If a shipment is refused, abandoned, seized, returned, or destroyed because of Buyer’s nonpayment, prohibited import, inaccurate information, or failure to cooperate, Buyer remains responsible for resulting charges to the extent permitted by law.

11. Production and shipping estimates

Production and delivery dates are estimates unless Fiat Lux expressly guarantees a date in writing. Made-to-order, oversized, framed, or freight-shipped products may require extended production, curing, inspection, crating, customs, or appointment scheduling.

Fiat Lux will comply with applicable shipment-delay laws. If Fiat Lux cannot ship within a promised period, or within the legally applicable default period when no shipping time was promised, Fiat Lux will provide any delay notice, consent opportunity, cancellation option, or refund required by law.

Fiat Lux is not responsible for a delay caused by incomplete Buyer information, failed delivery attempts, customs, carrier disruption, force majeure, or a Buyer-approved change, but mandatory cancellation and refund rights remain unaffected.

12. Delivery, inspection, and concealed damage

Provide a complete, secure delivery address and any access restrictions. Oversized freight may require an adult signature, delivery appointment, loading access, curbside receipt, or immediate inspection.

At delivery:

inspect the exterior packaging before signing;

photograph dents, punctures, moisture, crushing, or broken seals;

note visible damage on the carrier’s receipt when possible;

open and inspect the product promptly; and

preserve all packaging, crate parts, labels, and the product until the claim is resolved.

Notify Fiat Lux at studio@fiatluxvictor.com within seven (7) calendar days after delivery of visible or concealed transit damage, a materially incorrect product, or an apparent defect. Include the order number and clear photographs of the product, full packaging, shipping label, and damage.

The seven-day notice period helps preserve carrier and laboratory claims; it does not shorten a nonwaivable legal warranty or consumer remedy.

13. Lost shipments and failed delivery

Report a shipment marked delivered but not received within forty-eight (48) hours. Fiat Lux may require a carrier trace, police report, affidavit, delivery-location confirmation, or identity verification. Replacement or refund depends on the investigation, shipping terms, insurance, and applicable law.

Buyer is responsible for costs caused by an incorrect address, refusal, unavailability, missed freight appointment, unsafe access, or failure to collect a shipment, unless Fiat Lux or its provider caused the error.

14. Cancellations, changes, returns, and refunds

Because most Physical Products are custom-made:

a cancellation or change request must be sent promptly;

Fiat Lux may approve cancellation before production begins;

once printing, mounting, framing, personalization, or crating begins, the order is ordinarily noncancelable and nonreturnable;

a Custom Product is not returnable for preference, scale misjudgment, decor mismatch, or screen-to-print variation that falls within Section 7; and

Digital Product sales are final after download or access, except where law requires otherwise.

If a product arrives damaged, materially defective, or materially inconsistent with the confirmed order, Fiat Lux may, as appropriate and subject to law:

repair it;

replace the affected component or entire product;

reprint it;

provide a price adjustment; or

authorize a return and refund.

Do not ship a product to the registered office, a production partner, or any other address without written return authorization. Unauthorized returns may be refused.

Nothing in these Print Terms limits a cooling-off right, cancellation right, warranty, refund, or remedy that applicable law makes nonwaivable.

15. Limited and open editions

A work is a limited edition only if the Authorized Listing identifies the edition size or edition designation. Unless stated otherwise:

an edition number applies to the identified size, medium, crop, or edition described in the listing;

proofs, artist proofs, exhibition proofs, replacement prints, printer proofs, alternate sizes, alternate substrates, crops, and related works may exist;

a damaged numbered print may be destroyed and replaced with the same number for the same owner, with records maintained;

Fiat Lux and the Rights Holders may retain archival, exhibition, and documentation copies; and

an Artwork without an expressly stated edition limit is an open edition.

No buyer may reproduce a certificate, fabricate an edition number, split a certificate from its work for deceptive resale, or represent an open edition as limited.

16. Ownership of a Physical Product

After full payment and lawful delivery, you own the specific Physical Product purchased. Ownership of that object does not transfer:

copyright or other intellectual property in the Artwork;

the digital or source file;

reproduction, scanning, publishing, distribution, merchandising, advertising, or derivative-work rights;

rights to mint an NFT or other blockchain asset; or

any depicted person’s name, likeness, privacy, publicity, endorsement, trademark, or personal rights.

You may privately display the purchased object. You may also display it as ordinary interior decor in a business or professional space, provided the display does not imply endorsement, become the focus of an advertising campaign, charge admission specifically to exploit the Artwork, or otherwise reproduce or commercialize the image.

You may resell or give away the authentic Physical Product, subject to applicable law. The buyer of the object receives no greater intellectual-property rights than you received. A certificate of authenticity should accompany a resale, and you must accurately describe edition status, condition, provenance, and alterations.

17. Digital Product license

Unless an Authorized Listing states a different written license, a Digital Product is licensed, not sold. Fiat Lux, on behalf of the applicable Rights Holders, grants the original purchaser a limited, worldwide, non-exclusive, non-sublicensable, non-transferable, conditional license to:

store the file on the purchaser’s personal devices and one private backup service;

view the file privately; and

create no more than five (5) physical prints, each no larger than 80 inches on the longest side, solely for private, noncommercial display.

You may not share the file with another person except a professional printer solely to produce the permitted prints. The printer must delete the file after completion and may not retain, display, sample, train on, or reuse it.

Digital proofs supplied only for crop, color, framing, or order approval are not licensed for printing, posting, or other use.

18. Copyright and retained rights

Fiat Lux and/or the applicable Rights Holders retain all right, title, and interest they own or control in:

the Artwork and all source, working, alternate, high-resolution, and digital files;

copyrights and exclusive rights to reproduce, adapt, distribute, publicly display, and authorize derivative works;

collection names, trademarks, trade dress, logos, and goodwill;

names, professional names, signatures, voices, images, likenesses, personas, and biographical information of depicted persons;

moral, attribution, and integrity rights to the extent recognized and not waived; and

all rights not expressly granted.

Under 17 U.S.C. § 204, a transfer of copyright ownership generally requires a writing signed by the copyright owner or the owner’s duly authorized agent. A receipt, order confirmation, certificate of authenticity, possession of a print, access to a file, or payment alone is not a copyright assignment.

Where an Artwork includes generative-AI or other nonhuman-produced material, rights are asserted only to the extent legally owned or controlled, including protectable human-authored selection, arrangement, editing, compositing, retouching, or other contribution where applicable. Contractual use restrictions still apply to the Buyer’s access and conduct.

19. Prohibited uses

Unless a separate signed license expressly permits the use, you may not:

photograph, scan, copy, reproduce, trace, publish, upload, distribute, broadcast, stream, or make the Artwork or Digital Product available to others, except incidental noncommercial photographs of your interior in which the Physical Product is not supplied as a usable reproduction;

sell or distribute prints, posters, merchandise, files, downloads, templates, wallpapers, books, editorial content, advertising, or products reproducing the Artwork;

create or commission adaptations, modifications, crops, animations, remixes, filters, composites, derivative works, or substantially similar commercial versions;

mint, tokenize, fractionalize, or register the Artwork as an NFT, blockchain asset, or other digital collectible;

use the Artwork, file, or depicted person for facial recognition, biometric extraction, dataset creation, AI training, fine-tuning, retrieval augmentation, machine learning, generative AI, synthetic media, face swaps, voice clones, or deepfakes;

use a product to imply endorsement, affiliation, participation, authorship, political support, sponsorship, or product use by Fiat Lux, a Rights Holder, or a depicted person;

create pornographic, sexually explicit, defamatory, deceptive, hateful, unlawful, harassing, exploitative, or reputationally harmful content based on a depicted person;

remove, obscure, alter, falsify, or detach provenance, authorship, copyright, edition, watermark, metadata, or certificate information for a deceptive purpose;

claim or register copyright, trademark, publicity rights, or other ownership inconsistent with the rights granted;

resell, share, sublicense, loan, upload, or provide a Digital Product or high-resolution file to another person; or

help another person do any prohibited act.

A contractual restriction on AI training or another use is not a representation that every such act would independently constitute copyright infringement in every jurisdiction.

20. Name, likeness, persona, and endorsement

A product depicting a person does not convey ownership of that person’s identity. No right is granted to use any depicted or associated person’s name, professional name, body, face, voice, signature, likeness, persona, story, biographical details, or reputation beyond display of the lawfully purchased unmodified Physical Product as permitted here.

You may not state or imply that a depicted person endorses a product, service, brand, political position, sexual context, commercial campaign, or buyer. A copyright license or ownership of a physical print does not replace any required model release, publicity consent, privacy consent, trademark permission, or endorsement agreement.

Rights Holders and depicted persons are intended third-party beneficiaries of Sections 18 through 20 and may enforce those protections directly to the extent permitted by law.

21. Care, framing, installation, and safety

Buyer is responsible for safe unpacking, storage, framing, hanging, and installation unless the order expressly includes those services. Oversized, heavy, glazed, suspended, or rigid works may require professional art handlers, structural anchors, security hardware, multiple installers, or engineered support.

Fiat Lux is not responsible for damage or injury caused by:

improper unpacking, handling, storage, framing, hanging, anchoring, cleaning, or installation;

unsuitable walls, ceilings, fixtures, humidity, heat, water, sunlight, chemicals, or cleaning products;

modification of a frame, mount, glazing, substrate, or crate by Buyer; or

failure to follow provided care or installation instructions.

This section does not excuse a product defect or negligence that applicable law assigns to Fiat Lux.

22. Third-party laboratories, framers, carriers, and platforms

Fiat Lux may use independent fine-art printers, framers, fabricators, fulfillment partners, carriers, payment processors, ecommerce platforms, and software services. Fiat Lux remains responsible for its own contractual obligations but does not control every independent provider or guarantee uninterrupted third-party systems.

Buyer may not contact a production partner to obtain source files, unauthorized reprints, confidential specifications, pricing, or rights beyond the order. Production partners receive only the limited permissions needed to fulfill authorized orders.

23. Product warranty and exclusive remedies

Fiat Lux warrants that, at delivery, a Physical Product will materially conform to the confirmed order and be free from material production defects under ordinary inspection. This warranty does not cover:

inherent material variation described in Section 7;

damage after delivery;

ordinary aging or environmental exposure;

improper care, framing, storage, transport, or installation;

alterations by Buyer or a third party; or

inaccurate scale or color expectations based solely on an uncalibrated screen or illustrative mockup.

Subject to nonwaivable law, the remedies in Section 14 are the exclusive remedies for a covered product issue.

24. Disclaimer of other warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXCEPT FOR EXPRESS WRITTEN WARRANTIES IN AN AUTHORIZED LISTING OR SECTION 23, PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” FIAT LUX DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND RESULTS FROM DISPLAY, RESALE, OR INVESTMENT.

FIAT LUX DOES NOT WARRANT THAT A PRODUCT WILL APPRECIATE, REMAIN MARKETABLE, MATCH FUTURE DECOR, PRODUCE A PARTICULAR EMOTIONAL RESPONSE, OR LAST FOR A SPECIFIC PERIOD IN EVERY ENVIRONMENT.

Nothing in these Print Terms excludes a warranty, remedy, or consumer right that applicable law does not allow the parties to exclude.

25. No investment or appraisal advice

Artwork is sold for collection, display, and personal enjoyment, not as a security, deposit, investment contract, or promise of financial return. Statements about scarcity, edition, gallery quality, artistic significance, or collectibility are not an appraisal or guarantee of resale value. Obtain independent appraisal, legal, tax, and financial advice.

26. Indemnification

To the extent permitted by law, you will indemnify, defend, and hold harmless Fiat Lux, its affiliates, service providers, and applicable Rights Holders from third-party claims, losses, judgments, liabilities, penalties, and reasonable legal fees arising from:

your breach of these Print Terms;

your unauthorized reproduction, publication, commercialization, alteration, or use of the Artwork or a depicted person;

your unlawful import, display, installation, resale description, or distribution; or

content, products, campaigns, or representations you create using a product.

Fiat Lux will give reasonable notice of a covered claim and may control the defense with counsel of its choice. You may not settle a claim in a manner that admits wrongdoing by or imposes an obligation on an indemnified party without written consent. This section does not require a consumer to indemnify Fiat Lux for Fiat Lux’s own gross negligence, willful misconduct, or liability that cannot lawfully be shifted.

27. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

FIAT LUX AND THE RIGHTS HOLDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS; LOST REVENUE; LOSS OF DATA; OR LOSS OF GOODWILL;

FIAT LUX IS NOT LIABLE FOR UNAUTHORIZED THIRD-PARTY COPYING OR FOR ACTS OF CARRIERS, CUSTOMS AUTHORITIES, PLATFORMS, OR PAYMENT SERVICES OUTSIDE FIAT LUX’S REASONABLE CONTROL; AND

FIAT LUX’S TOTAL AGGREGATE LIABILITY ARISING FROM A PARTICULAR ORDER WILL NOT EXCEED THE AMOUNT FIAT LUX ACTUALLY RECEIVED FROM THE CLAIMANT FOR THE AFFECTED PRODUCT, EXCLUDING TAXES, DUTIES, INSTALLATION, AND THIRD-PARTY FEES.

These limitations do not apply to fraud, willful misconduct, gross negligence, infringement by Fiat Lux, bodily injury caused by Fiat Lux, or another liability that applicable law does not permit to be limited. Some jurisdictions do not permit certain exclusions, so part of this section may not apply to you.

28. Dispute notice, arbitration, and class-action waiver

Please read this section carefully. It affects the right to a jury trial and to participate in a class action.

Before filing a claim, the claimant must email a written notice describing the dispute, order number, relevant dates, requested relief, and supporting photographs or records to studio@fiatluxvictor.com. The parties will attempt in good faith to resolve the dispute for thirty (30) days. Either party may bring an individual claim in a court of competent small-claims jurisdiction if it qualifies.

Except for small-claims matters, intellectual-property or likeness claims seeking urgent injunctive relief, and claims that applicable law prohibits from arbitration, any unresolved dispute will be resolved by individual binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules for a consumer transaction or its applicable Commercial Arbitration Rules for a nonconsumer business transaction.

For a consumer claim:

the arbitration may proceed by documents, telephone, video, or in the claimant’s home area when required by AAA rules or applicable law;

Fiat Lux will pay fees it is required to pay under the AAA Consumer Arbitration Rules;

the arbitrator may award any individual relief available in court; and

Fiat Lux will submit or register this consumer clause with AAA when required for administration.

Claims must be brought only in an individual capacity. Neither party may act as a plaintiff or class member in a class, collective, consolidated, coordinated, mass, or representative proceeding to the extent this waiver is enforceable. If a court finally determines that a particular claim or requested public injunctive relief cannot be arbitrated individually, only that claim or remedy may proceed in court after the remaining arbitrable issues are resolved.

Thirty-day arbitration opt-out. A buyer may opt out of this arbitration section by emailing studio@fiatluxvictor.com within thirty (30) days after the buyer’s first purchase governed by these Print Terms. The notice must include the buyer’s full name, order number, purchase date, and a clear statement that the buyer opts out of arbitration. Opting out does not affect the remaining Print Terms.

29. Governing law and permitted court proceedings

Wyoming law governs these Print Terms without regard to conflict-of-law rules, except that the Federal Arbitration Act governs the arbitration section and mandatory consumer laws remain applicable where they cannot be waived.

Subject to Section 28, permitted court proceedings must be filed in a state or federal court with jurisdiction in Wyoming, unless mandatory consumer law requires another forum. Each party consents to personal jurisdiction there.

30. International consumers

Fiat Lux may restrict sales by territory. A buyer outside the United States is responsible for applicable import, export, sanctions, tax, customs, adult-content, and display laws. If you are a consumer in a jurisdiction that provides mandatory protections, these Print Terms do not waive those protections. The English-language version controls to the extent permitted by law.

31. Privacy, verification, and transaction records

Fiat Lux and its providers may collect order, device, payment, identity-verification, tax, shipping, customs, and communications data for fulfillment, fraud prevention, sanctions screening, legal compliance, rights enforcement, and dispute resolution, subject to the posted privacy policy and applicable law.

Fiat Lux may preserve the version of these Print Terms accepted, acceptance timestamp, order selections, approval records, payment record, production record, delivery evidence, damage photographs, communications, edition ledger, and certificate information.

32. Miscellaneous

No relationship with Buyer. The transaction does not create employment, partnership, joint venture, fiduciary, franchise, endorsement, or agency between Buyer and Fiat Lux or a Rights Holder.

Assignment. Buyer may not assign a Digital Product license. Buyer may transfer an authentic Physical Product as allowed in Section 16. Fiat Lux may assign its rights and obligations to an affiliate, successor, purchaser of the relevant business, or authorized rights administrator.

Severability and reformation. If a provision is unenforceable, it will be enforced to the maximum lawful extent or severed, and the remainder will continue.

No waiver. A failure to enforce a provision is not a waiver.

Force majeure. Fiat Lux is not liable for delay caused by events outside reasonable control, but this clause does not eliminate refund or cancellation rights that applicable law requires.

Headings and summary. Headings and the opening summary aid readability; the complete operative provisions control.

Survival. Provisions concerning payment, retained rights, prohibited uses, warranties, indemnification, liability, disputes, records, and miscellaneous terms survive delivery, resale, refund, or termination as applicable.
